Celerity has entered into a definitive agreement to acquire the Entegris Gas Delivery Business with an expected close date of February 5th 2006. The business consists of the following products; mass flow controllers, vacuum gauges, pressure transducers, scales, displays and pressure gauges. The transaction provides Celerity an outstanding opportunity to better serve its customers by immediately expanding our portfolio of market leading gas delivery systems while realising product development and operational synergies through combining businesses.

Prior to the close of the transaction, all existing purchase orders will be supported by Entegris and all purchase orders should be placed through Entegris customer service. Following completion of the transaction Celerity will assume responsibility for new purchase orders and the fulfillment of existing purchase orders. Additionally service for all gas delivery products in North America will continue to be provided by the Entegris global services organisation until the transaction closes, at which point the responsibility will transfer to Celerity's global service organisation. Service outside of North America will continue to be provided by Entegris for the short term after which it will be handled by Celerity.
